Material Index Marketplace Terms and Conditions

These Terms and Conditions shall remain in effect until updated or superseded by Material Index

1. Parties and Definitions

1.1 Parties

The following parties are beholden to these terms and conditions:

  • MATERIAL INDEX, a company incorporated under the laws of England and Wales. They are a limited company. To contact, please email hello@material-index.co.uk . ("Material Index", "we", "us", or "our"), being the operator of the Marketplace;
  • SITE SELLER, being any individual or entity who registers on the Marketplace to sell Construction Materials from Site ("Seller");
  • TRADE PARTNER, being any professional individual or entity who registers on the Marketplace to purchase construction materials from Site Sellers and/or subsequently resell such materials from stock as a Vendor to Stock Buyers ("Vendor"); and
  • STOCK BUYER, being any individual or entity who registers on the Marketplace to purchase construction materials from Trade Partners acting as Vendors ("Stock Buyer").

Each of the Site Seller, Trade Partner, and Stock Buyer may be referred to individually as a "User" and collectively as "Users".

1.2 Reference to Other Policies

These terms & conditions refer to Our Privacy Policy, which explains how we collect, use and store your personal data.

1.3 Key Definitions

  • Account: The registered user profile created by a User on the Marketplace, containing personal or business information, trading history, and access credentials.
  • Agreement: These Terms and Conditions.
  • Binding Offer: An offer that has been presented to the Seller or Vendor and accepted by the Seller or Vendor.
  • Business Day: Any day other than Saturday, Sunday or a public holiday in England and Wales.
  • Construction Materials: Secondary, reclaimed, surplus or end-of-life building materials, components, fixtures, fittings, equipment, and supplies used in construction or refitting projects being resold through the Marketplace.
  • Listing: A posting on the Marketplace by a Site Seller / Vendor offering Construction Materials for sale, containing descriptions, specifications, pricing, availability, and other relevant information.
  • Logistics Partner: A third-party entity responsible for collecting and transporting Construction Materials.
  • Order: A purchase request submitted through the Marketplace.
  • Marketplace or MI Marketplace: The Material Index online Marketplace website, mobile applications, and related digital services accessible at https://material-index.exchange and any successor or related websites or applications, used for the buying and selling of reclaimed Construction Materials.
  • Services: The Marketplace services provided by Material Index through the Marketplace, including listing facilitation, payment processing, communication tools, and transaction support.
  • Site: A project where Construction Materials are sold directly from location, and where Construction Materials may only be available on the marketplace for a limited period of time.
  • Site Broker: The party acting on behalf of the Seller.
  • Stock: A physical location where Construction Materials owned by Vendors are stored and consequently sold from.
  • Stock Buyer: a User buying Vendor Construction Materials from Stock.
  • Transaction: The process of purchasing Construction Materials through the Marketplace.
  • User: Any Site Seller, Trade Partner, or Stock Buyer who has registered an Account on the Marketplace.
  • User Content: All Content uploaded, posted, transmitted, or made available on the Marketplace by Users, including Listings, reviews, communications, and profile information.
  • Vendor: A Trade Partner selling stock that is stored offsite, and of which the quality and quantity is known.

2. Acceptance and Modification of Terms

2.1 Acceptance of Terms

By registering for an Account, accessing the Marketplace, or using the Services, you agree to these Terms and Conditions. If acting on behalf of a company or legal entity, you confirm you have authority to bind it. You must be at least 18 years old to use the Marketplace.

2.2 Modifications

We may amend these terms. Before using the site, check the terms to ensure you understand those in effect. Site usage constitutes acceptance. Material Index may modify, suspend, or discontinue any Services, provided ongoing Transactions are not materially affected. Users acknowledge that site availability may be affected by maintenance, technical issues, or events beyond Material Index's control.

3. Background and Our Role

3.1 Background of the Marketplace

Material Index acts solely as an intermediary Marketplace operator for the Marketplace that facilitates the trading of Construction Materials between registered users. Trade Partners purchase materials from Site Sellers, and may resell them to Stock Buyers, creating a three-sided Marketplace. Material Index provides the platform, payment processing, and Marketplace Services to enable transactions between users but does not take ownership of any materials traded as a Marketplace provider. We make no warranties regarding products listed, and hold no responsibility as to the performance of the obligations of sellers.

Material Index as an Marketplace Provider does not:

  • guarantee the quality, safety, legality, or availability of any materials listed;
  • warrant the accuracy of information provided by Users in their Listings or communications; or
  • assume responsibility for the performance of contractual obligations between Users.

4. User Registration and Account Management

To access the Marketplace and use the Services, Users must create an Account with accurate, current, and complete information. Material Index may verify User information and request additional documentation. Users must promptly update their Account and immediately notify Material Index of any unauthorized use or security breaches.

Material Index may suspend or terminate any Account:

  • for breach of these Terms;
  • for providing false or misleading information;
  • for non-payment of fees;
  • if the Account remains inactive for more than twelve months;
  • at Material Index's sole discretion upon thirty days' written notice;
  • For bypassing the Marketplace to avoid commission.

Users may terminate their Account at any time, subject to completion of all outstanding Transactions. Upon Account termination, Users remain liable for all outstanding obligations and fees incurred prior to termination.

5. User Obligations

5.1 Material Listing Requirements

Users must provide accurate and complete information for all listed Construction Materials. Listings must comply with the Marketplace's content standards and include sufficient information for Trade Partners to make informed purchasing decisions. Users must categorise Construction Materials correctly using the Marketplace's classification system and promptly update Listings to reflect any changes in availability, condition, pricing, or other material information.

5.2 Quality Representations and Warranties

Users warrant and represent that all listed Construction Materials are accurately described, fit for their intended purpose, and fully comply with all applicable construction industry standards, laws, and regulations. Sellers/Vendors further warrant that they have good and marketable title to the Construction Materials and the unrestricted right to sell them. Users shall disclose all known defects, damage, or limitations that may affect the Materials' suitability for construction use. Where Sellers have included in the description that they have certification or warranty information, this should be made available on request within a reasonable time period.

5.3 Pricing and Payment Terms

Users must display clear pricing for all Construction Materials. Prices are to include Marketplace commission and fees.

5.4 Inventory Management

Users must maintain accurate inventory records regarding the volume of available stock listed on the MI Marketplace. Sellers must confirm available stock by the end of the next Business Day of an enquiry being made. Users have the option to accept Orders and must honour accepted Orders unless the Materials become genuinely unavailable due to circumstances beyond their reasonable control.

5.5 Communication and Customer Service

Users must respond promptly to enquiries from potential buyers and Material Index regarding their Listings and Orders. Users must use the Marketplace's communication tools for all Transaction-related correspondence. Users must provide reasonable cooperation in resolving any disputes or issues that arise in connection with their Materials or Orders.

5.6 Customer Care Policy

Users must respond to Customer queries within five (5) Business Days of receipt. All communication with Customers must be polite, accurate, and professional. Users must engage in good faith to resolve complaints promptly and fairly. If disputes are not resolved through direct negotiation, Material Index will mediate the dispute and issue a binding decision, which all parties agree to accept and comply with.

5.7 Logistics Preparation

  • If a sale has been agreed and logistics have been organised, the Seller/Vendor shall be liable for payment of any cancellation penalties which may occur as a result, and/or for any logistics costs already undertaken prior to cancellation.
  • If an item has been purchased and is no longer available, the Seller/Vendor must inform the buyer at the earliest opportunity.
  • In the event the Seller/Vendor fails to meet its responsibilities as described in clause 11, resulting in a failed or delayed collection, they shall be liable for any wasted transport costs or site-rebooking costs incurred by the buyer or Material Index.
  • Vendors must ensure they package items in accordance with the guidance provided following the sale of your item. Vendors must package all items in accordance with correct weight and dimension limits provided. If Vendors fail to correctly package Construction Materials, Material Index third party carriers will have no liability to them, and their items may be subject to delays. Third party carriers may at their discretion, and in any manner they prefer, destroy or refuse to accept non-compliant items into their network. Vendors must post all items contained in a single order in one package.

5.8 Delisting Policy and Cancellation of Binding Offers

In instances where an item is not yet sold, Material Index requires a notification and a reason for delisting (such as "Sold elsewhere" or "No longer available"). A User may delist a material at any time, except in instances where a Binding Offer has been made and accepted. In such instances, the Seller/Vendor shall be charged a commission at the applicable commission rate on the total listed price. In instances where collection of the item has already been agreed, the Seller/Vendor shall be liable to pay any relevant logistics fees and logistics cancellation fees.

6. Trade Partner as buyer Provisions

Trade Partners are responsible for conducting appropriate due diligence on materials prior to purchase, including verification of material specifications, quality, compliance with applicable standards, and suitability for intended resale purposes. Construction Materials are bought as seen, with returns only being possible in the event of defect, or material difference between the Construction Material and the Listing, as explained in clause 12.

7. Trade Partner as Vendor Provisions

Trade Partners are responsible for proper storage, handling, and preservation of materials. Trade Partners warrant to Stock Buyers that Construction Materials are sold as described and are fit for their stated purpose.

When Trade Partners act as Vendors, ownership is retained by the Trade Partner until the receipt of goods is delivered to the Stock Buyer. Construction Materials remain the property of Vendors during their transfer.

8. Stock Buyer Rights

8.1 Purchase Rights and Process

Construction Materials are bought as seen, with returns only being possible in the event of defect, or material difference between the Construction Material and the Listing, as explained in clause 12. All purchases by Stock Buyers are subject to the acceptance of Orders by the relevant Trade Partner acting as Vendor.

8.2 Right of Inspection

Stock Buyers have the right to inspect Construction Materials upon delivery to verify compliance with Order specifications and agreed conditions. Any discrepancies, damage, or non-conformity must be reported to the Trade Partner within two (2) Business Days of delivery.

8.3 Returns and Remedies

As stated in clause 12.1, Stock Buyers may return Construction Materials to Trade Partners that do not conform to the agreed specifications or are defective. The buyer has five (5) Business Days from delivery to request a return.

8.4 Payment Protection

Stock Buyers benefit from secure payment processing through the Marketplace's approved payment methods. Stock Buyers may dispute charges for non-delivered or materially non-conforming Orders through the Marketplace's dispute resolution process.

8.5 Support and Communication

Stock Buyers may contact Trade Partners directly through the Marketplace's messaging system for Order-related inquiries and support, or where this is unavailable may contact Material Index through the 'contact us' section.

9. Transaction Process

9.1 Order Placement and Acceptance from Site

Trade Partners may place Orders for Construction Materials listed by Site Sellers through the Marketplace. Orders must specify quantities, delivery requirements, and any special collection or delivery instructions, as stated in clause 11. By placing an Order, Trade Partners confirm review of the Construction Materials specifications and acceptance of the listed terms. Site Sellers have forty-eight (48) hours to accept or reject an Order through the Marketplace; acceptance forms a binding contract, and failure to respond within that period results in automatic cancellation.

9.2 Order Placement and Acceptance from Stock

Stock Buyers may place Orders for Construction Materials offered by Trade Partners acting as Vendors. Trade Partners must accept or decline Stock Buyer Orders within one (1) Business Day. Acceptance creates a binding contract between the Trade Partner and Stock Buyer.

9.3 Site items Payment Processing

Payment for accepted Orders must be processed through the Marketplace's designated payment system. In the event of a dispute money will be held on escrow by Material Index until the dispute is resolved

9.4 Stocked items Payment Processing

Payment for accepted Orders must be processed through the Marketplace's designated payment system. Stock Buyers must complete payment before Construction Materials dispatch unless alternative payment terms are agreed with the Trade Partner. In the event of a dispute money will be held on escrow by Material Index until the dispute is resolved.

9.5 Transaction Completion

Transactions are deemed complete when Construction Materials are delivered and accepted by the purchasing party. Upon successful completion, escrowed payments will be released to the selling party minus applicable Marketplace fees within two Business Days.

9.6 Order Modifications and Cancellations

Order modifications require mutual agreement between the relevant parties and must be processed through the Marketplace. Material Index reserves the right to cancel Transactions that violate these terms or applicable laws. The Seller/Vendor has the discretion to request a deposit from buyers, which may be withheld from the buyer in the event Construction Materials are not collected as arranged.

10. Payment and Commissions

10.1 Fees, Escrow and Payouts

All payment processing fees charged by third-party payment providers shall be borne by the paying party in addition to the Transaction amount. All payments are processed through Material Index's designated providers and held in a secure escrow account. Marketplace fees are automatically deducted from Transaction proceeds before payment is released to Sellers/Vendors. All fees are exclusive of VAT, which shall be added where applicable. Marketplace fees are non-refundable except in cases where Material Index has materially breached these terms or where Transactions are cancelled due to Marketplace error. Fee disputes must be raised within thirty (30) days of the charge being applied to the User's Account.

Subject to any raised disputes, funds are released to the Seller or Vendor ten (10) Business Days after collection is confirmed (for Site sales) or delivery (for Vendor sales). Material Index may hold funds indefinitely in the event of a dispute until a settlement is reached.

10.2 Commissions and Fees

  • Standard Commission: 10% of the total transaction value, deducted automatically from escrowed funds before payout.
  • Site Broker Fee: An additional 10% may apply if an MI Site Broker listed the materials on the Seller's behalf.
  • Transaction Fees: Third-party payment processing fees (i.e. Stripe for card payments) are borne by the paying party. Stripe charges 1-1.5%
  • Charity/Social Value donations: MI facilitates donations to charity partners on behalf of site sellers on request and has a network of certified charity partners. MI typically charges an administration fee only of £200 per lorry load for charitable donations unless otherwise stated.

11. Delivery and Logistics

11.1 Delivery Arrangements and Responsibilities from site

The Seller is responsible for facilitating collection as specified in the relevant Listing. This includes the proper preparation of all materials for transport, ensuring items are packaged, palletised, and wrapped in accordance with industry standards. The Seller must also ensure materials are located at a suitable ground-floor or loading bay access point and provide the buyer with up-to-date site entry requirements and written safety protocols where necessary. All relevant documentation, including delivery receipts and compliance certificates, must be provided at the point of transfer. Ownership of Construction Materials passes to Trade Partners upon collection.

11.2 Delivery Arrangements and Responsibilities from stock

The Vendor is responsible for delivery unless otherwise agreed. This includes the proper preparation of all materials for transport, ensuring items are packaged, palletised, and wrapped in accordance with industry standards. All relevant documentation, for example delivery receipts and compliance certificates, must be provided at the point of transfer. Ownership of Construction Materials passes to site buyers on delivery.

11.3 Risk of Loss and Insurance

Risk of loss and damage to Construction Materials passes from the Seller to the Trade Partner upon collection, or from the Vendor to the Stock Buyer upon delivery. Each party is responsible for maintaining adequate insurance coverage during the period in which they bear the risk of loss. Material Index acts solely as an intermediary and bears no risk for loss, damage, or personal injury occurring during the handling, collection, or transportation of materials by any party or third-party Logistics Partner.

11.4 Failed Collections and delays

If a Seller or Vendor fails to meet their preparation or access responsibilities, resulting in a failed or delayed collection, they shall be liable for any wasted transport or site-rebooking costs incurred by the Buyer or Material Index. Any delays to agreed timescales must be reported immediately to both the Buyer and Material Index with a revised delivery date and explanation.

12. Quality Assurance and Returns

12.1 Quality Standards and Inspection

All Construction Materials listed on the Marketplace must comply with applicable UK construction standards, building regulations, and safety requirements. Sellers and Vendors are responsible for providing accurate descriptions, specifications, and condition reports, including photographs that truly represent the Construction Materials. Buyers have a right of inspection upon delivery or collection to verify compliance with the Order.

12.2 Returns and Defect Resolution for stocked items

Materials may be returned if they are defective or materially differ from the Listing description. Unless the materials are proven to be defective or misdescribed, the returning party is responsible for all return shipping costs. Materials must be returned in the same condition as delivered. If a product is found to be defective or materially different from the Listing, the Vendor must, at their sole discretion, repair, replace, or refund the product in full. This represents the buyer's sole remedy for defect resolution.

For sales from stock, the buyer has five (5) Business Days from delivery to request a return. Material Index will hold these funds for five (5) Business Days and may withhold payment to the Vendor if a dispute is raised. In all cases, Material Index acts solely as a mediator; our decision regarding the validity of a return or refund is final and binding on all parties.The sole grounds for dispute are where products are materially different from their listing description.

12.3 Returns and Defect Resolution for site items

Sales may be disputed if the items purchased are defective or materially differ from their Listing description. For sales from a site, any discrepancies, damages, or non-conformity must be reported through the Marketplace's dispute system within two (2) Business Days of receipt. If items are sold from a site not as described, money will be returned to the buyer. Returns to site are only possible with Site Seller permission.

13. Marketplace Postings and Warranties

Sales from a Site:

Any site audit conducted by Material Index represents only a sample of the materials identified. Site Sellers acknowledge that Listing descriptions may be based on audit estimates and that Sellers are solely responsible for ensuring Construction Materials conform to the Listing or for promptly notifying Material Index of any inaccuracies. Unless expressly stated in a Listing, materials sourced from a Site are not certified or warranted.

Sales from Stock:

The Vendor is solely responsible for ensuring that Construction Materials conform to the description of the product as listed, including the functionality of the product where functionality is relevant to the product. Unless explicitly stated otherwise in the Listing description, it should be assumed that goods listed from stock are not certified or warrantied.

14. Intellectual Property

14.1 Marketplace Ownership

Material Index owns all intellectual property rights in and to the Marketplace, including but not limited to the website, mobile applications, software, databases, algorithms, user interfaces, design elements, logos, trademarks, and all related technology and documentation.

14.2 User Content Ownership and License to Material Index

Users retain ownership of all intellectual property rights in the content they create and submit to the Marketplace, including listings, descriptions, images, and communications. By submitting content, Users grant Material Index a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivatives from, distribute, and display the content to operate and promote the Marketplace. Material Index may also disclose a User's identity to anyone claiming that their posted content infringes intellectual property or privacy rights.

14.3 Trademark Usage

UK00003907064 is a UK registered trade mark of Material Index Ltd. You are not permitted to use it without our approval. Users may not use Material Index's trademarks, logos, or brand names without prior written consent, except as necessary to identify Material Index as the provider of the Marketplace services.

14.4 Enforcement

Material Index may remove any User Content it reasonably believes infringes third-party rights or violates the content standards set out in clause 16. Material Index may also disclose a user's identity to any party claiming that posted content infringes intellectual property or privacy rights. If your content has been removed and you wish to contact us, please email hello@material-index.co.uk. Material Index will respond to valid copyright infringement notices in accordance with applicable law and may terminate accounts of repeat infringers.

15. Non-Circumvention

Users must not use the Marketplace's communication features to:

  • solicit business outside the Marketplace in violation of these Terms
  • share personal contact information for the purpose of circumventing Marketplace fees

If an Offer is made to a Seller, all future Transactions between the two parties from stock listed on our Marketplace must be brokered through the MI Marketplace, unless either party can evidence prior business relations within two (2) Business Days of the introduction. If items are sold outside the MI Marketplace, Material Index shall be entitled to receive the same level of commission as if the items had been sold through the MI Marketplace.

Material Index has the right to terminate a User's Account and/or pursue legal action to recover any fees owed and associated costs if the non-circumvention provisions are breached. Construction Materials may be listed on additional Marketplace platforms, provided that such materials are not listed at a lower price than the price listed on the MI Marketplace.

16. Content Standards

All Users must ensure that any Content they upload, post, or otherwise make available on the Marketplace complies with these Terms and all applicable laws and regulations.

The views expressed by other users on our site do not represent our views or values. Material Index reserves the right to review, moderate, edit, or remove any Content that violates these standards without prior notice to the User.

Material Index may terminate or suspend any User's Account immediately and without prior notice if the User breaches these Terms or engages in any activity that Material Index reasonably considers harmful to the Marketplace, other Users, or Material Index's business interests. Material Index may terminate any User's Account with thirty (30) days' written notice for any reason, including without limitation for commercial, operational, or strategic reasons.

17. Third-Party Services and Marketplace Availability

Third-Party Services

Material Index may use third-party providers (e.g., payment processors, logistics, identity verification, or other technology platforms) to deliver the Services. Users agree that use of these services is subject to the third parties' terms, and Material Index does not control, endorse, or assume responsibility for them. Users access third-party services at their own risk, and Material Index is not liable for any loss, damage, or service unavailability caused by third-party failures, interruptions, or policy changes.

18. Liability and Disclaimers

18.1 Marketplace Role and Service Disclaimers

Material Index operates as an intermediary Marketplace connecting Users and does not manufacture, store, own, or control any Construction Materials listed or traded through the Marketplace. The Marketplace is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Material Index makes no representations or warranties regarding the quality, safety, legality, accuracy, or fitness for purpose of any Construction Materials listed on the Marketplace.

18.2 Limitation of Liability (General)

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation. Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any products to you, which will be set out in our Terms and Conditions of Supply.

If you are a business user:

To the fullest extent permitted by law, we exclude all implied conditions, warranties, representations, and terms relating to our site and its content. We shall not be liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising from the use of or inability to use the site, or reliance on its content. This includes, without limitation, loss of profits, revenue, business, anticipated savings, business interruption, goodwill, reputation, business opportunity, and any indirect or consequential loss.This Marketplace is for business-to-business purposes, and is therefore not covered by consumer law.

18.3 Specific Liability for Sales

Liability for Sales from a Site:

The buyer owns the Construction Materials from the point of collection. Material Index shall not be held responsible for the quality or performance of services provided by the buyer or Logistics Partner(s). Material Index does not provide Risk Assessment Method Statements (RAMS) for the deconstruction of components. If required, RAMS would be provided by the Logistics Partner.

Liability for Sales from Stock:

The buyer owns the goods from when Construction Materials are delivered, regardless of which party is responsible for logistics. Material Index shall not be held responsible for the quality or performance of services provided by the Logistics Partner(s). Material Index shall not be liable for any disputes arising between the buyer and any Marketplace or Logistics Partner(s). Material Index does not take direct possession of the Construction Materials but acts as a broking agent.

18.4 Aggregate Liability Cap

Notwithstanding any other provision in this Agreement, the total aggregate liability of Material Index to the Seller, Vendor or buyer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement, shall be limited as follows:

Direct Loss: Material Index's total liability for all claims arising from any single Transaction shall not exceed one hundred percent (100%) of the total commission fees actually paid to Material Index by the buyer and/or Seller specifically in relation to that Transaction.

Indirect Loss Exclusion: Material Index shall not be liable for any indirect, special, punitive, exemplary, or consequential loss or damage, including, but not limited to, loss of profits, loss of anticipated savings, loss of business, or depletion of goodwill, in each case, however caused, even if foreseeable.

Mandatory Exclusions: The limitations and exclusions in this clause shall not apply to liability for:

  • death or personal injury caused by Material Index's negligence;
  • fraud or fraudulent misrepresentation by Material Index; or
  • any other liability that cannot be excluded or limited by applicable law.

19. Indemnification and Insurance

19.1 Indemnification

Each User agrees to defend, indemnify and hold harmless Material Index, its directors, employees, agents and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • the User's use of and access to the Marketplace;
  • the User's violation of any term of this Agreement;
  • the User's violation of any third party right, including without limitation any copyright, property, or privacy right;
  • the User's violation of any applicable law, rule or regulation;
  • any Content or information that the User submits, posts, transmits or makes available through the Marketplace;
  • the User's wilful misconduct or negligent acts or omissions in connection with the Marketplace.
  • the actions of Logistics Partner(s), or third-party entities engaged in the reuse process.

Site Sellers shall additionally indemnify Material Index against any claims arising from:

  • the quality, condition, description or delivery of Construction Materials listed or sold through the Marketplace;
  • any breach of warranty or representation made regarding Construction Materials;
  • any personal injury or property damage caused by defective or non-conforming Construction Materials.

Trade Partners acting as Vendors shall indemnify Material Index against any claims arising from:

  • their resale activities to Stock Buyers;
  • any modifications made to Construction Materials after purchase from Site Sellers;
  • their failure to properly inspect or test Construction Materials before resale.

19.2 Insurance

The buyer shall ensure that it has adequate insurance coverage for all Construction Materials purchased through the Marketplace.

20. Governing Law and General Provisions

20.1 Governing Law and Jurisdiction

These Terms and any related disputes shall be governed by the law of England and Wales. Material Index may also pursue claims in any other competent jurisdiction, and doing so in one jurisdiction does not prevent proceedings in others, to the extent allowed by law.

20.2 General Provisions

If any part of this Agreement is deemed invalid, unenforceable, or illegal by a competent authority, the remaining provisions remain in effect. This Agreement is the entire agreement between Material Index and Users, superseding all prior agreements, whether written or oral unless explicitly agreed. Material Index may assign or transfer its rights and obligations freely; Users may not do so without Material Index's prior written consent. Material Index is not liable for delays or failures caused by circumstances beyond its reasonable control.
